By accessing or using the GovPulse platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

GovPulse is operated by AS Peoria LLC dba Avid Solutions Intl ("Company", "we", "us", or "our"). These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

GovPulse is an AI-powered government intelligence platform that provides:

• Aggregation of government news and contracting opportunities
• AI-powered analysis using IBM Watson Orchestrate
• Bid assistance and RPA-powered workflow automation
• API access for integration with third-party applications
• Custom alerts and notification services

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.

4. Subscription Plans and Billing

4.1 Plans

GovPulse offers various subscription plans with different features and pricing. Details of available plans are provided on our website and during the sign-up process.

4.2 Payment

You agree to pay all fees associated with your selected plan. Payments are processed through IBM Cloud Marketplace or our direct billing system. All fees are non-refundable except as expressly provided in these Terms.

4.3 Usage Limits

Each plan includes specific usage limits (API calls, messages, etc.). Usage beyond these limits may result in additional charges or service restrictions as specified in your plan.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Transmit malware, viruses, or other harmful code
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to the Service or related systems
• Use the Service for any fraudulent or deceptive purposes
• Resell or redistribute the Service without authorization
• Scrape, harvest, or collect data from the Service by automated means without permission

6. Intellectual Property

6.1 Our Content

The Service, including its original content, features, and functionality, is owned by AS Peoria LLC and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Content

You retain ownership of any content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with providing the Service.

6.3 Government Data

GovPulse aggregates publicly available government data. We do not claim ownership of government content, which remains in the public domain or subject to its original licensing terms.

7. Third-Party Services

The Service integrates with third-party services, including:

• IBM Watson Orchestrate for AI processing
• SAM.gov and other government databases
• Various news and data sources

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

The information provided by GovPulse is for informational purposes only and should not be construed as legal, business, or professional advice. Users should verify all information independently before making decisions based on it.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AS PEORIA LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless AS Peoria LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Peoria, Illinois.

15. General Provisions

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AS Peoria LLC regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

15.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
