End User License Agreement (EULA)

1. Agreement Overview

This End User License Agreement ("EULA") is a legal agreement between you ("User", "You") and AS Peoria LLC dba Avid Solutions Intl ("Company", "We", "Us") regarding your use of the GovPulse government intelligence platform, including the AI-powered agent, Watson Orchestrate integration, and all related services (collectively, the "Service").

By accessing or using GovPulse at https://govpulse.io or through IBM Cloud Marketplace, you agree to be bound by this EULA. If you do not agree to these terms, do not use the Service.

2. License Grant

2.1 Permitted Use

Subject to the terms of this EULA, we grant you a limited, non-exclusive, non-transferable license to access and use the GovPulse Service for your internal business purposes, including:

• Accessing government news aggregation and analysis
• Using AI-powered briefing generation
• Interacting with the Watson Orchestrate-powered AI agent
• Receiving email newsletters and notifications
• Using API endpoints within your subscription limits

2.2 Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the Service
• Remove or modify any proprietary notices or labels
• Use the Service to compete with or create competing services
• Exceed your subscription API limits or attempt to circumvent usage restrictions
• Share your account credentials or API keys with third parties
• Use the Service for illegal activities or to violate any regulations

3. IBM Watson Orchestrate Integration

GovPulse integrates with IBM Watson Orchestrate to provide AI-powered analysis and automation. Your use of Watson Orchestrate features is also subject to IBM's terms of service. We act as a service broker for Watson Orchestrate provisioning through IBM Cloud.

Watson-powered features include:

• Natural language processing of government documents
• Sentiment analysis of news content
• Automated briefing summarization
• Intelligent RFP opportunity matching

4. Service Plans and Marketplace Purchases

4.1 Service Plans

GovPulse offers various service plans with different feature sets and usage limits. Specific plan details, pricing, and features are available via IBM Marketplace.

4.2 Marketplace Purchases

Notwithstanding the foregoing, if Customer purchases Services through a third-party marketplace or reseller (e.g., IBM or other authorized marketplace), the terms regarding payment, taxes, and expense obligations shall be governed exclusively by IBM.

5. Data and Privacy

Our handling of your data is governed by our Privacy Policy. Key points:

• We collect minimal personal information necessary for service operation
• Government news data is aggregated from public sources
• Your usage data helps improve AI model performance
• We implement industry-standard security measures
• Data is processed in accordance with applicable privacy laws

6. Intellectual Property

6.1 Our IP

GovPulse, including its AI models, algorithms, user interface, and documentation, is protected by intellectual property laws. We retain all rights not expressly granted to you.

6.2 Your Content

You retain ownership of any content you provide to the Service. By using the Service, you grant us a license to use your content as necessary to provide the Service.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect service availability.

Current service targets:

• 99.5% uptime SLA for Standard Plan subscribers
• API response time under 2 seconds for most requests
• Email support response within 24-48 hours

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO THIS EULA OR THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Termination

9.1 Termination by You

You may terminate your subscription at any time through the IBM Cloud Marketplace. For support or assistance with termination, contact support@govpulse.io.

9.2 Termination by Us

We may suspend or terminate your access immediately if you violate this EULA or engage in harmful activities.

9.3 Effect of Termination

Upon termination, your access to the Service will be revoked. We may retain certain data as required by law or for legitimate business purposes as described in our Privacy Policy.

10. Updates to this EULA

We may update this EULA from time to time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance of the updated terms.

11. Governing Law

This EULA is governed by the laws of the State of Illinois, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Illinois.
